We are not responsible for outages, interruptions, pricing changes, policy changes, data loss, or service limitations caused by third-party platforms.
Your use of third-party platforms is also governed by their respective terms and policies.
Invoices are due according to the terms listed on the invoice or service agreement.
Failure to make timely payment may result in:
-Service interruption
-Account suspension
-Removal of access
-Additional fees
-Subscription services may renew automatically unless canceled before the renewal date.
Due to the custom nature of digital consulting, CRM configuration, automation development, and implementation services, completed work and setup fees are generally non-refundable.
Refund requests for incomplete projects may be reviewed on a case-by-case basis.
Third-party fees, software subscriptions, advertising costs, domain purchases, and platform expenses are non-refundable.
All content, workflows, templates, systems, branding, and materials created by Prospera Logic remain our intellectual property unless otherwise agreed in writing.
Clients retain ownership of their own business data and content.
Artificial intelligence and automation systems may occasionally produce inaccurate, incomplete, delayed, or unintended outputs.
Clients are responsible for reviewing and approving all automated communications, AI-generated content, workflows, and campaigns before use.
Prospera Logic does not guarantee specific business outcomes, revenue increases, or operational results.
To the fullest extent permitted by law, Prospera Logic shall not be liable for:
-Indirect damages
-Loss of profits
-Business interruption
-Data loss
-Missed opportunities
-Third-party service failures
-Our total liability shall not exceed the amount paid by the client to us during the prior 90 days.
Services are provided “as is” and “as available” without warranties of any kind, express or implied.
We do not guarantee uninterrupted service, error-free functionality, or specific performance outcomes.
While we implement reasonable safeguards, no online system is completely secure.
You acknowledge and accept the risks associated with internet-based communications, software systems, and cloud storage.
We reserve the right to terminate or suspend access to services at any time for violations of these Terms or misuse of our systems.
These Terms shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
